2. Services Provided

Moda Vibe Ltd operates as a supplier and coordinator of padel court equipment, including but not limited to:

• Padel court structures and components
• Artificial turf and playing surfaces
• Court lighting systems
• Silica sand and infill materials
• Accessories and maintenance equipment
• Coordination of installation services

We act as an intermediary connecting customers with manufacturers and suppliers. We are not the manufacturer of the products unless explicitly stated.

3. Quotations and Orders

3.1 Quotations

All quotations provided are valid for 30 days from the date of issue unless otherwise stated. Quotations are subject to availability and may be withdrawn or revised at any time before acceptance.

3.2 Orders

Orders are subject to acceptance by Moda Vibe Ltd. We reserve the right to refuse any order. A contract is formed only when we issue written confirmation of your order.

3.3 Pricing

All prices are quoted in GBP (£) or EUR (€) as specified, exclusive of VAT unless otherwise stated. Prices are subject to change based on currency fluctuations, supplier pricing, and shipping costs.

4. Payment Terms

• Payment terms will be specified in the quotation or order confirmation
• Typically, a deposit of 30-50% is required upon order confirmation
• Balance payment is due before shipping or as otherwise agreed
• Late payments may incur interest charges at 8% per annum above the Bank of England base rate
• We reserve the right to suspend or cancel orders for non-payment

5. Delivery and Installation

5.1 Delivery

Delivery timescales are estimates only and are not guaranteed. We will use reasonable efforts to meet delivery dates but are not liable for delays caused by:

• Manufacturer or supplier delays
• Shipping and customs delays
• Force majeure events
• Customer-caused delays

5.2 Installation

Where installation services are provided, these are subject to separate terms and conditions. Site preparation is the customer's responsibility unless otherwise agreed in writing.

6. Warranties and Guarantees

Products supplied are subject to the manufacturer's warranty terms. We will assist in facilitating warranty claims but do not provide our own warranty unless specifically agreed in writing.

All implied warranties and conditions are excluded to the fullest extent permitted by law.

7. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for indirect, consequential, or special damages
• Our total liability for any claim shall not exceed the total amount paid by you for the relevant products or services
• We are not liable for delays or failures caused by events beyond our reasonable control
• Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation

8. Intellectual Property

All content on this website, including text, images, logos, and design, is owned by Moda Vibe Ltd or licensed to us. You may not reproduce, distribute, or use any content without our prior written permission.

9. Cancellations and Returns

Due to the bespoke nature of padel court equipment:

• Custom orders cannot be cancelled once manufacturing has commenced
• Deposits are non-refundable once orders are confirmed
• Returns are only accepted for defective products within the manufacturer's warranty terms
• All returns must be reported within 7 days of delivery

10. Force Majeure

We are not liable for failure to perform our obligations due to events beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, strikes, government actions, pandemics, or supplier failures.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Entire Agreement

These Terms, together with our Privacy Policy and any written quotation or order confirmation, constitute the entire agreement between you and Moda Vibe Ltd.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
